1. Acceptance of Terms

We reserve the right to investigate and prosecute violations of these Terms to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.
6. Intellectual Property Rights
All content, features, and functionality of the Site and Services, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and the selection and arrangement thereof (collectively, "Content"), are owned by ReadLab Media, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The ReadLab name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ReadLab Media or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content on our Site, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
- You may store files that are automatically cached by your web browser for display enhancement purposes;
- You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Site in breach of these Terms, your right to use the Site will stop immediately and you must, at our option, return or destroy any copies of the materials you have made.

ReadLab uses the Universal Commerce Protocol (UCP) to enable discovery by AI agents. You acknowledge that any transaction initiated or fulfilled via an AI agent or third-party platform is solely between you and the merchant. ReadLab is not a party to such transactions and disclaims all liability related thereto.

YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK. READLAB MEDIA, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS (COLLECTIVELY, THE "READLAB PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION:
- THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR INFORMATION ON THE SITE;
- THE INTERPRETATION, DISPLAY, OR RECOMMENDATION OF OUR CONTENT BY THIRD-PARTY AI AGENTS, CRAWLERS, OR SEARCH ENGINES;

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE READLAB PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF READLAB MEDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:
- YOUR USE OR INABILITY TO USE THE SITE OR SERVICES;
- THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SITE OR SERVICES;

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF THE READLAB PARTIES TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO READLAB MEDIA, IF ANY, FOR ACCESSING THE SITE OR SERVICES, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF THE READLAB PARTIES SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to defend, indemnify, and hold harmless the ReadLab Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Site or Services;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
- Any claim that your User Content caused damage to a third party;
- Your violation of any applicable law, rule, or regulation;
- Any other party's access and use of the Site or Services with your unique username, password, or other appropriate security code.
This defense and indemnification obligation will survive these Terms and your use of the Site and Services.
12. Termination
We may terminate or suspend your access to all or any part of the Site or Services at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Site and Services will immediately cease. If you wish to terminate your agreement with ReadLab Media, you may simply discontinue using the Site and Services.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Digital Millennium Copyright Act (DMCA)
If you believe that any content on the Site infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material;
- Your contact information, including your address, telephone number, and email address;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
You agree that any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall be conducted in Delaware. You waive any right to a jury trial and agree that disputes shall be resolved on an individual basis and not in a class, consolidated, or representative action.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
16. Waiver
No waiver by ReadLab Media of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ReadLab Media to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and ReadLab Media with respect to the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site and Services.
18. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
19. Force Majeure
ReadLab Media shall not be liable for any failure or delay in performance under these Terms which is due to earthquake, fire, flood, act of God, act of war, terrorism, epidemic, pandemic, labor dispute, civil commotion, interruption of transportation or communications, supply shortages, or any other cause beyond our reasonable control.
20. No Professional Advice
The content on the Site, including but not limited to articles, posts, and other materials, is provided for informational and entertainment purposes only. It is not intended to constitute professional advice, including but not limited to legal, financial, medical, or other professional advice. You should not rely on the content on the Site as a substitute for professional advice. Always seek the advice of qualified professionals regarding any questions you may have.
21. Export Control
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and any other applicable export control laws. You agree not to export, re-export, or transfer any content or materials from the Site to any country, person, or entity subject to U.S. export restrictions.
